Terms of Service and Asset License Agreement
Effective date: August 31, 2026
These Terms of Service and Asset License Agreement (“Terms”) govern your access to and use of the Exaro Studio website, marketplace, downloadable content, digital assets, and related services (collectively, the “Services”).
The Services are operated by Exaro Studio, operated by Noob Media LLC (“Exaro,” “we,” “us,” or “our”).
By accessing the Services, creating an account, purchasing or downloading an Asset, or otherwise using the Services, you agree to these Terms.
If you do not agree to these Terms, do not use the Services or purchase or download Assets.
The Exaro Studio Acceptable Use Policy is incorporated into these Terms by reference. Violation of the Acceptable Use Policy constitutes a violation of these Terms.
1. Eligibility
You must be legally capable of entering into a binding contract to make purchases through the Services.
If you are acting on behalf of a company, studio, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
Individuals who are not old enough to enter into a binding contract in their jurisdiction may only use the purchasing portions of the Services through a parent, guardian, or other legally authorized adult.
2. Accounts
Certain features may require an account.
You agree to:
- provide accurate and current information;
- maintain the confidentiality of your login credentials;
- promptly notify us of unauthorized access to your account; and
- accept responsibility for activity conducted through your account unless caused by a failure of Exaro’s systems.
You may not sell, rent, transfer, or provide access to your account to another person.
We may suspend or terminate accounts reasonably believed to be involved in fraud, unauthorized redistribution of Assets, abuse of the Services, violation of these Terms, or unlawful activity.
3. Digital Assets
Exaro offers downloadable digital content, which may include:
- 3D models;
- meshes;
- materials;
- textures;
- animations;
- rigs;
- audio;
- visual effects;
- Unreal Engine content;
- game-development resources;
- documentation; and
- other downloadable digital files.
Each item is referred to in these Terms as an “Asset.”
An Asset is licensed, not sold.
Purchasing an Asset gives you the license described below. Ownership of the underlying Asset or intellectual-property rights is not transferred to you except where a product listing expressly states otherwise.
4. Standard Commercial Asset License
Unless a product page expressly provides different license terms, your purchase of an Asset gives you a perpetual, worldwide, non-exclusive, royalty-free commercial license to use that Asset subject to these Terms.
You may:
- use the Asset in commercial and non-commercial projects;
- modify, adapt, resize, retopologize, retexture, rig, animate, combine, convert, optimize, or otherwise alter the Asset;
- incorporate the Asset into video games, applications, simulations, virtual-reality experiences, augmented-reality experiences, films, television, advertising, rendered images, rendered video, architectural visualizations, interactive experiences, and similar projects (“Projects”);
- commercially distribute, publish, sell, license, or monetize a Project that incorporates the Asset;
- use the Asset with Unreal Engine, Unity, Blender, proprietary engines, or other compatible software unless a product listing specifically states otherwise;
- use rendered images or video containing the Asset for advertising, promotional, portfolio, entertainment, or commercial purposes;
- share the Asset with your employees and contractors solely when they need access to the Asset to work on one of your Projects, provided that they may not independently use or retain the Asset for unrelated projects; and
- use an Asset in a Project created for a client, provided that the Asset remains incorporated into the Project and is not provided to the client as a standalone reusable asset library.
No additional royalty is owed to Exaro based on revenue generated by a permitted Project.
5. Prohibited Uses
Unless Exaro gives you prior written permission, you may not:
- sell, sublicense, redistribute, publish, upload, share, give away, or otherwise make an Asset available on a standalone basis;
- redistribute an Asset in substantially the same form in which it was downloaded;
- include an Asset in another asset pack, template pack, model library, texture library, marketplace product, stock-asset collection, or competing downloadable-content library;
- make the Asset available in a format that allows users of your Project to extract, export, download, or reuse the Asset independently from the Project;
- purchase an Asset jointly with unrelated persons or organizations for the purpose of avoiding additional purchases;
- upload the Asset to a public repository or other publicly accessible storage location;
- use an Asset primarily to create a competing asset marketplace, stock library, or downloadable collection;
- remove or circumvent technological measures primarily intended to prevent unauthorized redistribution;
- use an Asset, or substantially reproduce an Asset, as training data, validation data, fine-tuning data, reference data, or other input for training or developing an artificial-intelligence or machine-learning model without Exaro’s prior written permission;
- scrape or systematically extract Assets for creation of datasets, embeddings, generative-model libraries, or similar machine-readable collections;
- represent yourself as the original creator or exclusive owner of an unmodified Exaro Asset; or
- use an Asset in violation of applicable law.
A Project does not violate this section merely because it commercially incorporates an Asset. The restriction concerns redistribution or exploitation of the Asset itself as an independently usable resource.
6. Source Files and Protection Against Extraction
When distributing a game, application, or interactive Project containing an Asset, you must take commercially reasonable steps to prevent ordinary end users from obtaining the Asset’s reusable source files.
For example, Assets may be included in compiled, cooked, packaged, encrypted, compressed, proprietary, or otherwise application-integrated formats.
This requirement does not prohibit ordinary modding functionality or development workflows unless those features effectively distribute the purchased Asset as a standalone reusable product.
7. AI-Assisted and AI-Generated Content
Some Assets offered by Exaro may be created, generated, modified, processed, or assisted using artificial-intelligence or machine-learning technologies.
Exaro may also perform human review and modification, which may include selection, modeling, sculpting, retopology, UV work, texturing, rigging, animation, collision generation, optimization, formatting, testing, or other creative or technical work.
You acknowledge that:
- laws concerning AI-generated content continue to develop;
- purely AI-generated elements may not qualify for copyright protection in every jurisdiction;
- Exaro does not guarantee that every component of every Asset is independently copyrightable;
- AI systems may produce similar outputs for different users, and Assets are not represented as exclusive unless a product page explicitly states otherwise; and
- your rights to use an Asset arise from this contractual license to the extent Exaro has rights and authority to grant those rights.
Nothing in these Terms guarantees that an Asset is unique or that another person could not independently create or generate similar content.
8. Exaro Verified and Technical Information
Assets may display an Exaro Verified badge or other technical certification.
A verification designation means that the Asset successfully completed the technical checks identified by Exaro for that Asset or product category at the time it was tested.
Such checks may concern matters such as:
- file integrity;
- importability;
- dimensions or scale;
- pivots;
- UVs;
- materials;
- textures;
- collision;
- rigging;
- animation;
- Unreal Engine compatibility;
- performance characteristics; or
- other technical requirements.
Verification does not mean that an Asset is appropriate for every project, hardware configuration, engine version, artistic style, production pipeline, or performance target.
Verification is a technical quality indicator and not a guarantee of fitness for a particular purpose.
9. Software and Engine Compatibility
Product pages may identify software, engine, plugin, or file-format versions with which an Asset has been tested.
Software changes over time. Exaro does not guarantee that an Asset will remain compatible with future versions of Unreal Engine, Unity, Blender, operating systems, third-party plugins, or other software.
Where commercially reasonable, Exaro may provide updates to correct compatibility problems, but we are not obligated to support every future software version indefinitely.
10. Third-Party Components
Some Assets may contain or depend upon content, libraries, software, fonts, plugins, open-source components, or other material governed by separate third-party terms.
Where applicable, those terms will be identified in the product listing, documentation, or files accompanying the Asset.
Third-party license terms govern the applicable third-party component and may impose additional requirements.
No license under these Terms grants rights to third-party trademarks, logos, characters, brands, personalities, or other intellectual property except to the extent Exaro is authorized to grant such rights.
11. Pricing and Payment
Prices are displayed before purchase and may change at any time.
A price change does not affect a purchase already completed.
You authorize our payment processor to charge the payment method you provide for the purchase price, applicable taxes, and other amounts clearly disclosed before purchase.
Exaro may use third-party payment processors. Exaro does not necessarily receive or store your complete payment-card number.
You are responsible for applicable taxes except taxes imposed directly on Exaro’s income.
We may cancel or refund transactions resulting from technical errors, incorrect pricing, fraud, payment reversals, or unauthorized activity.
12. Digital Delivery and Refunds
Assets are digital products generally made available for download shortly after payment.
Because digital products cannot ordinarily be returned in the same manner as physical goods, completed purchases are generally final once the Asset has been downloaded or access to the digital content has begun, except:
- where a refund is required by applicable law;
- where a separate refund policy provides greater rights; or
- where an Asset is materially defective or materially different from its product description and Exaro is unable to reasonably correct the problem.
If you believe an Asset is defective, contact support@codehawke.com with your order information and a description of the problem.
Nothing in these Terms limits mandatory consumer rights that cannot legally be waived.
European and Other Statutory Withdrawal Rights
Consumers in certain jurisdictions may have statutory cancellation or withdrawal rights for online purchases.
Where permitted by applicable law, when you request immediate access to downloadable digital content, you may be asked during checkout to expressly consent to delivery beginning immediately and acknowledge that beginning delivery may cause you to lose a statutory withdrawal right.
If applicable law does not permit a particular limitation or waiver, your statutory rights remain unaffected.
13. Intellectual Property in the Site
Except for Assets licensed under these Terms and third-party materials, the Services, website design, branding, logos, software, text, graphics, product presentation, databases, and other materials provided by Exaro are owned by or licensed to Exaro.
“Exaro,” “Exaro Studio,” “Exaro Verified,” related logos, and related branding may be trademarks or trade dress of Exaro.
These Terms do not grant you the right to use Exaro branding except as reasonably necessary to identify a legitimately purchased Asset or as otherwise authorized by us.
14. Reviews, Feedback, and User Content
If the Services allow you to submit reviews, comments, images, feedback, suggestions, or other content (“User Content”), you retain whatever ownership rights you have in that content.
You grant Exaro a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and distribute User Content for purposes of operating, promoting, improving, and providing the Services.
You represent that you have the right to submit your User Content and that it does not violate another person’s rights or applicable law.
We may remove User Content that we reasonably believe violates these Terms or is fraudulent, abusive, infringing, illegal, or misleading.
Suggestions and product feedback may be used by Exaro without compensation or obligation to you.
15. Copyright and Intellectual-Property Complaints
Exaro respects intellectual-property rights.
If you believe material available through the Services infringes your copyright or other intellectual-property rights, contact support@codehawke.com.
Please identify:
- the work or rights you believe are being infringed;
- the material you believe is infringing;
- where the material appears;
- your contact information; and
- sufficient information for us to evaluate the claim.
We may remove or disable access to disputed content while reviewing a credible claim.
If Exaro later permits third-party sellers to upload Assets, additional seller and copyright-notice procedures may apply.
16. Prohibited Conduct
You may not:
- interfere with the operation or security of the Services;
- attempt unauthorized access to accounts or systems;
- introduce malware or malicious code;
- use automated means to bulk-download or scrape Assets;
- circumvent download limits or security controls;
- engage in fraudulent purchases or chargeback abuse;
- use the Services to violate intellectual-property rights;
- impersonate another person or organization;
- misuse another user’s account; or
- use the Services for unlawful activity.
17. Availability and Changes to Assets
We may modify, update, replace, discontinue, or remove an Asset when reasonably necessary, including because of:
- technical defects;
- security problems;
- licensing issues;
- intellectual-property claims;
- legal requirements; or
- changes to supported software.
Where reasonably possible, customers who previously purchased an Asset may continue to access the version they purchased.
However, permanent future hosting or redownload availability is not guaranteed. You should maintain backups of Assets used in your Projects.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ASSETS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
EXCEPT FOR EXPRESS REPRESENTATIONS MADE IN A PRODUCT LISTING, EXARO DISCLAIMS IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.
EXARO DOES NOT GUARANTEE THAT:
- EVERY ASSET WILL MEET YOUR PARTICULAR DEVELOPMENT REQUIREMENTS;
- EVERY ASSET WILL WORK WITH EVERY SOFTWARE OR ENGINE VERSION;
- THE SERVICES WILL ALWAYS BE AVAILABLE OR ERROR-FREE;
- AN ASSET WILL BE EXCLUSIVE;
- EVERY AI-GENERATED ELEMENT WILL BE COPYRIGHTABLE; OR
- USE OF AN ASSET WILL PRODUCE A PARTICULAR COMMERCIAL RESULT.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXARO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE GOODS OR SERVICES ARISING FROM OR RELATING TO THE SERVICES OR AN ASSET.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXARO’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES, AN ASSET, OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO EXARO DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not apply where applicable law prohibits limiting liability, including where applicable for fraud, willful misconduct, gross negligence, or certain consumer rights.
20. Indemnification
To the extent permitted by applicable law, if you use the Services on behalf of a business or for commercial purposes, you agree to defend, indemnify, and hold harmless Exaro and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, and reasonable expenses arising from:
- your unlawful use of an Asset;
- your prohibited redistribution of an Asset;
- your violation of these Terms;
- your User Content; or
- your infringement of another person’s rights.
This provision does not require a consumer to indemnify Exaro where such an obligation is prohibited by applicable consumer law.
21. Suspension and Termination
You may stop using the Services at any time.
Exaro may suspend or terminate access to the Services when reasonably necessary because of:
- a material violation of these Terms;
- fraud;
- unauthorized Asset redistribution;
- unlawful conduct;
- security concerns; or
- legal requirements.
Termination of your account does not automatically terminate a valid Asset license for an Asset previously purchased and paid for, unless the license was obtained fraudulently or your rights to that Asset are terminated because of a material violation relating to the Asset.
Sections intended by their nature to survive termination will remain effective.
22. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law principles.
Subject to any mandatory consumer rights or jurisdictional requirements that apply to you, disputes arising out of these Terms or the Services will be brought in the state or federal courts of the Commonwealth of Virginia, and each party consents to jurisdiction there.
Nothing in this section deprives a consumer of protections or remedies that cannot be waived under the laws of the consumer’s place of residence.
23. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we will update the Effective Date and provide additional notice where required by law.
Changes ordinarily apply prospectively.
The license applicable to an Asset you already purchased will not be materially reduced retroactively unless required by law or necessary to address infringement, fraud, security, or another serious legal issue.
24. Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be interpreted as closely as legally permitted to its intended effect.
25. Exaro Studio Plans and Subscriptions
Exaro Studio plans are recurring subscriptions billed in advance at the price and interval shown at checkout. A plan renews automatically until you cancel it.
An active paid plan provides access to the Exaro Studio plugin for Unreal Engine, updates released while the plan is active, and a monthly marketplace balance stated in dollars at checkout. A free plan, where offered, provides the access described on the pricing page and does not include a marketplace balance.
Your marketplace balance:
- is granted on each successful renewal and is denominated in U.S. dollars;
- may be used only to acquire Assets through the Services;
- has no cash value, is not transferable, and is not redeemable for cash except where required by law;
- carries over from month to month while your subscription remains active; and
- cannot be spent while a subscription is lapsed or cancelled. A lapsed subscription does not erase a remaining balance, but the balance becomes spendable again only when a paid plan is active.
Amounts beyond your available balance are charged to your payment method at checkout. Assets you have already acquired remain licensed to you under section 4 after a subscription ends.
Where a trial is offered, it converts into a paid subscription at the end of the trial period unless you cancel before the trial ends.
You may cancel at any time. Cancellation takes effect at the end of the billing period then in progress, and you keep plan access until then. Refunds are governed by section 12 and our refund policy.
A plan and any license key issued with it are for you or for a single studio seat, with a reasonable number of activations on your own machines. You may not share, resell, or publish a license key, circumvent license validation, or use a single license across an entire team.
MCP tool requests you make using your own AI provider keys are not charged against your marketplace balance.
26. Your AI Provider Keys and AI Output
Exaro Studio is bring-your-own-keys. You are responsible for your own accounts, usage, and costs with AI providers such as Anthropic, OpenAI, or Google, and your use of those providers is governed by their terms rather than these Terms.
AI-generated output can be wrong. The plugin previews changes and asks for your approval before applying them. You are responsible for reviewing what you approve and for what ends up in your project.
Development tooling operates on your project files. Keep your projects under version control and maintain backups.
27. Plugin Software and EULA Precedence
The Exaro Studio plugin is software licensed to you, not sold, and is not an “Asset” for purposes of section 4. Its use is governed by the end-user license agreement (EULA) included with it.
If the EULA and these Terms conflict with respect to the plugin software, the EULA controls for the software. These Terms control for the Services, the marketplace, and Assets.
Store components are one-time purchases tied to your Exaro Studio license. They are installed into your project by the plugin and are yours to use in your projects, including commercial games you ship.
You may not redistribute the plugin or store components themselves, whether as source, packaged, or inside another tool or marketplace listing. Shipping a Project built with them is what they are for; reselling them is not.
28. Entire Agreement
These Terms, together with any product-specific license, the plugin EULA, refund policy, privacy policy, checkout terms, or other policies expressly incorporated into them, constitute the agreement between you and Exaro concerning the Services.
If a product listing expressly contains additional license terms, those product-specific terms control in the event of a direct conflict concerning that Asset.

Unreal® and Unreal Engine® are trademarks or registered trademarks of Epic Games, Inc. in the United States and elsewhere. Exaro Studio is an independent product and is not affiliated with, endorsed by, or sponsored by Epic Games, Inc. All other trademarks belong to their respective owners.
